Act No. 90/2012 Coll., on business corporations (hereinafter „ABC“) which enters into force on 01.01.2014, imposes new demands on business companies concerning the obligatory publishing of information on their web pages. This obligation affects joint-stock companies and also limited liability companiesif they have their own web pages.

The companies are obliged to publish not only information that was to be stated on company’s business documents, but also documents such as financial statements or invitation to general meeting, explanation for shareholders.

Convening the general meeting of joint-stock companies is changed. The company is obliged to publish the invitation to the general meeting on its web pages. The provision about publishing the invitation on the company’s web pages is mandatory and companies cannot exclude it in their statutes.

Sanctions for violating the obligation set by the law is the fine up to the amount of 100.000,- CZK, which can be imposed repeatedly, or cancelation of the company by a court decision.
