Administration of Corporate Matters
   

Management of corporate affairs (basically a corporate compliance program) includes the transfer of responsibility for compliance with the company’s statutory obligations to our firm, and includes in particular the following services:

  • the performance of all entries into the Commercial Register with the exception of transformations (meaning mergers, changes to legal form, division, etc.)
  • the preparation of all documentation for an entry in the Commercial Register with the exception of materials for a transformation and with the exception of contracts for the transfer of an interest in the company
  • supervision over compliance with obligations connected with the placement of documents in the collection of documents of the Commercial Register and informing the client
  • ensuring that the company law documentation is in compliance with legislation
  • monitoring legal regulations relating to the performance of the company’s statutory obligations, meaning from the perspective of company law, trade law, and potentially other areas in relation to the subject of business of the company.

The costs connected with the management of corporate affairs, such as notarial entries, stamps etc., will be paid separately as billed.
